A conflict of interest exists when your personal interests, outside commitments, or relationships with third parties may influence or appear to influence your judgment, actions, or the decisions you make while representing Orlando Fashion LLC. This could include, but is not limited to:
Personal Financial Interest: Any personal investment or financial interest in a competitor or organization whose interests conflict with those of Orlando Fashion LLC.
Relationship Conflicts: Close personal, family, or business relationships with individuals or entities that may have a competing interest with Orlando Fashion LLC.
Competing Professional Activities: Being involved in or serving as a representative for another brand or company whose objectives or products directly compete with Orlando Fashion LLC’s business or reputation whilst engaging in services or activities for Orlando Fashion LLC.
Use of Brand Influence for Personal Gain: Leveraging your Ambassador role to gain preferential treatment, financial advantage, or personal benefits outside of your Ambassador duties.
Influence of Sponsorships or Collaborations: Accepting offers of sponsorships, collaborations, or promotional deals that conflict with Orlando Fashion's interests or values.
If you believe that a potential or actual conflict of interest exists in your professional or personal activities, you are required to disclose it promptly to Orlando Fashion’s management team. This includes any financial, personal, or professional interests that may interfere with your ability to carry out your duties objectively and in the best interests of Orlando Fashion LLC.
Required Disclosure: Ambassadors must disclose any conflict of interest prior to starting or during the course of their engagement with Orlando Fashion. This should be done via an official Conflict of Interest Disclosure form or through direct communication with your program manager.
Timely Reporting: If you become aware of a conflict of interest during your ambassadorship, you are obligated to disclose it immediately. Prompt reporting allows Orlando Fashion LLC to assess the situation and determine the appropriate course of action.
Once a conflict is disclosed, Orlando Fashion LLC will review the information and determine whether the conflict can be resolved or mitigated. The company may request that you take certain actions to eliminate the conflict, such as:
Recusal: In situations where you may have a personal interest in a matter that affects Orlando Fashion, you may be asked to recuse yourself from involvement in any decision-making or discussions related to that matter.
Modification of Duties: If a conflict is unavoidable, Orlando Fashion LLC may modify your Ambassador duties to avoid situations where the conflict could arise. This could involve reassignment to different tasks, projects, or events where your personal interests do not interfere with the brand's objectives.
Termination of Ambassador Status: In the event that the conflict cannot be mitigated or resolved, Orlando Fashion LLC reserves the right to remove the Ambassador from the program to ensure the brand’s interests are not compromised.
It is important that all disclosures made under this policy are handled with confidentiality and professionalism. Information regarding a disclosed conflict of interest will only be shared on a need-to-know basis with relevant company leadership to ensure proper evaluation. Orlando Fashion LLC is committed to acting with integrity, and we expect all Ambassadors to do the same by maintaining honesty in their disclosure process.
Acceptable:
You are an Ambassador for Orlando Fashion and have disclosed your involvement with a local boutique brand that specializes in a different fashion niche. There is no direct competition with Orlando Fashion’s platform, and both brands complement each other. You have disclosed this relationship to Orlando Fashion LLC to ensure there is no conflict.
You partner with Orlando Fashion LLC to promote a local fashion event, and you are transparent about your role as an Ambassador while collaborating with another local business in the same field. You make sure to clearly separate your Ambassador duties from your personal business ventures.
Unacceptable:
You are representing another fashion brand, organization, or agency that directly competes with Orlando Fashion LLC’s products or services, and you fail to disclose this relationship.
You are representing another fashion brand that directly competes with Orlando Fashion LLC’s products or services, and you fail to disclose this relationship.
You use your role as an Ambassador to negotiate exclusive deals for yourself with local designers or businesses, without consulting Orlando Fashion LLC.
You receive compensation or sponsorships from competitors without disclosing them, which may influence your representation of Orlando Fashion’s products, services, or events.
